About Aikosmirai

Aikosmirai ("the Company," "we," "us," or "our") is the developer and operator of the Aikosmirai AI Growth OS, an all-in-one AI-powered business operating system accessible via aikosmirai.com and related subdomains and applications (collectively, "the Platform" or "the Service").

The Platform provides businesses, entrepreneurs, creators, coaches, freelancers, agencies, and enterprise organizations with integrated tools including but not limited to: website and funnel building, AI marketing automation, CRM, email marketing, content and video creation, AI chatbots, course and community hosting, app building, knowledge management, and enterprise-grade analytics and security.

Acceptance of Terms

By accessing, browsing, registering for, or using any part of the Aikosmirai Platform, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, our Privacy Policy (set out below), and any additional guidelines, policies, or rules posted on the Platform, all of which are incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Platform. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

• You must be at least 18 years of age to use the Platform.
• By using the Platform on behalf of a business, you warrant that you are authorized to represent that business.
• Your continued use of the Platform after any changes to these Terms constitutes acceptance of the updated Terms.

Platform License & Permitted Use

Subject to your compliance with these Terms and timely payment of applicable subscription fees, Aikosmirai grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business purposes during the applicable subscription period.

What you may do

• Access and use all Platform features included in your subscription tier.
• Create, store, and publish content and business assets through the Platform.
• Invite team members and collaborators as permitted by your plan.
• Download data and content you have created via authorized export tools.
• Use AI-generated outputs for your own business communications and marketing.

What you may not do

• Resell, sublicense, or white-label the Platform itself without a written reseller agreement with Aikosmirai.
• Reverse engineer, decompile, or disassemble any part of the Platform or its underlying AI models.
• Use the Platform to build a competing product or service.
• Scrape, crawl, or extract Platform data through automated means not authorized by the API.
• Share login credentials or permit unauthorized third parties to access your account.

Account Registration & Security

To access the Platform, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

• You must provide a valid email address and maintain its accuracy.
• You must notify us immediately at security@aikosmirai.com if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts found to be in breach of these Terms without prior notice.
• You may not create multiple accounts to circumvent platform restrictions or exploit trial periods.
• Accounts are personal or organizational; you may not transfer your account to another party without written consent from Aikosmirai.

Subscriptions, Billing & Refunds

Access to the Aikosmirai Platform is provided on a subscription basis. By selecting a paid plan, you authorize us to charge the applicable fees to your designated payment method on a recurring basis.

Billing cycles

• Monthly plans are billed on the same date each month from the date of subscription commencement.
• Annual plans are billed upfront for the full year at the annual rate.
• Prices are listed in US Dollars (USD) unless otherwise specified; currency conversion is your responsibility.
• We reserve the right to modify subscription pricing with 30 days written notice to your registered email address.

Refund policy

• Annual subscriptions: eligible for a full refund within 14 calendar days of initial purchase, provided no more than a nominal amount of platform data has been created.
• Monthly subscriptions: non-refundable once the billing period has commenced. You retain access until the end of the paid period upon cancellation.
• Refunds for exceptional circumstances (service outage, billing error) are assessed on a case-by-case basis. Contact billing@aikosmirai.com.

Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the Platform. You must not use the Platform to:

• Generate, distribute, or promote content that is illegal, defamatory, harassing, threatening, sexually explicit, or discriminatory in any form.
• Spam, phish, or conduct fraudulent communications via the Platform's email or messaging tools.
• Upload or transmit malware, viruses, or any malicious code.
• Violate any applicable local, state, national, or international law or regulation, including data protection laws and CAN-SPAM, GDPR, and CCPA requirements.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Collect or store personal data about other users without appropriate legal basis or consent.
• Use the AI features to generate disinformation, deceptive advertising, or content designed to manipulate or harm individuals.
• Engage in cryptocurrency mining, network attacks, or any activity that places an unreasonable load on Platform infrastructure.

Violation of this policy may result in immediate account suspension, termination, and where applicable, referral to law enforcement authorities.

Intellectual Property

Aikosmirai's intellectual property

All aspects of the Aikosmirai Platform, including its software, AI models, design, interfaces, branding, trademarks, logos, and documentation, are the exclusive property of Aikosmirai or its licensors and are protected by intellectual property laws worldwide. Nothing in these Terms grants you ownership of any Platform component.

Your content

You retain full ownership of all content, data, and materials you create, upload, or publish through the Platform ("Your Content"). By using the Platform, you grant Aikosmirai a limited, non-exclusive, royalty-free license to host, store, display, and process Your Content solely as necessary to provide the Service to you.

• We do not claim ownership of Your Content.
• We do not use Your Content to train AI models without your explicit written consent.
• You are responsible for ensuring that Your Content does not infringe third-party intellectual property rights.

AI-generated output

Content generated by Aikosmirai's AI features at your direction ("AI Output") is provided for your use. You are responsible for reviewing, editing, and taking responsibility for any AI Output you publish or distribute. Aikosmirai makes no representations regarding the originality, accuracy, or non-infringement of AI Output.

Privacy Policy

This Privacy Policy describes how Aikosmirai collects, uses, stores, shares, and protects your personal information when you use the Platform. We are committed to protecting your privacy and handling your data with transparency and care.

This Privacy Policy applies to all users worldwide. Where regional laws impose additional obligations (including GDPR, CCPA, and PIPEDA), we comply with those requirements and provide region-specific rights where applicable.

By using the Platform, you consent to the practices described in this Privacy Policy. If you do not agree, please discontinue use of the Platform and contact us to request data deletion.

AI Features, Accuracy & Responsibility

The Aikosmirai Platform includes AI-powered features for content creation, automation, analysis, chatbot behavior, and more. By using these features, you acknowledge and agree to the following:

• AI Output is generated algorithmically and may contain inaccuracies, errors, outdated information, or unintended content. You must review all AI Output before publishing or distributing it.
• You are solely responsible for any AI Output you publish, share, or act upon. Aikosmirai is not liable for consequences arising from unreviewed or incorrectly applied AI Output.
• AI features must not be used to generate or distribute disinformation, spam, deepfakes, discriminatory content, or any content that violates the Acceptable Use Policy.
• AI Output does not constitute professional legal, financial, medical, or other regulated advice. Consult qualified professionals for such matters.
• We continuously improve AI features and their outputs; behavior, quality, and capabilities may change over time without notice.
• By default, your prompts and content are not used to train Aikosmirai's or third-party AI models. Enterprise customers may discuss custom data arrangements separately.

Disclaimers & Limitation of Liability

Platform availability

The Platform is provided on an "as is" and "as available" basis. While we strive for 99.9% uptime, we do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

Limitation of liability

To the maximum extent permitted by applicable law, Aikosmirai and its directors, officers, employees, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages.

Aikosmirai's total cumulative liability to you for any claims arising from or related to these Terms or the Platform, regardless of the form of action, shall not exceed the greater of: (a) the total subscription fees paid by you to Aikosmirai in the twelve months preceding the claim, or (b) USD $100.

Indemnification

You agree to indemnify, defend, and hold harmless Aikosmirai and its affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your violation of these Terms, Your Content, or your use of the Platform in breach of applicable law.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Informal resolution

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@aikosmirai.com. We will attempt to resolve the dispute within 30 days. If informal resolution fails, the following applies:

Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English on a documents-only or virtual basis. The decision of the arbitrator shall be final and binding.

Class action waiver

You agree that any arbitration or legal proceedings will be conducted solely on an individual basis and not in a class, consolidated, or representative action. You expressly waive your right to participate in a class action or class-wide arbitration.

Changes to These Terms

We reserve the right to update or modify these Terms & Conditions and Privacy Policy at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this document.
• Send an email notification to your registered email address at least 14 days before changes take effect (for material changes affecting your rights).
• Display a prominent in-Platform notice for the first 30 days after changes go live.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with material changes, you may cancel your subscription before the effective date and request a pro-rated refund for annual plans.
